Terms of Service

1. Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of the SaaSPartnerNetwork platform at saaspn.com (the “Service”), operated by SaaSPartnerNetwork (“we”, “us”). By registering for or using the Service you agree to these Terms on behalf of your agency. If you do not agree, do not use the Service.
2. The Service
SaaSPartnerNetwork is a business-to-business platform that lets approved marketing and sales agencies create lead-generation campaigns, enrol other agencies to work shared leads within defined territories, route and manage those leads, track revenue-share on closed deals, and generate settlement invoices. The Service integrates with GoHighLevel (LeadConnector) to sync contacts, opportunities, and invoices. It is intended solely for registered agencies and their authorized team members.
3. Eligibility, accounts & subscriptions
Agencies must apply and may be subject to approval before using the Service. You are responsible for the accuracy of the information you provide, for keeping credentials secure, and for all activity under your account. You must be at least 18 and authorized to act for the agency you register. Certain features (for example creating campaigns or asking campaign questions) require an active paid subscription; free accounts have limited access. Subscription fees are billed as described at sign-up and are non-refundable except where required by law.
4. Acceptable use
You agree not to use the Service to:
- upload or process leads or contacts you did not collect lawfully and with appropriate consent;
- send unsolicited bulk email (spam), or violate any anti-spam or data-protection law;
- misrepresent your identity, your agency, or your relationship to a lead;
- infringe intellectual-property or privacy rights, or upload unlawful content;
- attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
5. Leads, campaigns & territory
Leads generated through a campaign belong to the campaign’s owner agency. When you enrol in a campaign you select the countries, states/provinces, and cities you want to cover. Territory is exclusive per campaign: a given state or city may be claimed by only one participating agency, and areas already claimed are not offered to others. Leads are routed to the most specific matching participant; assigning a lead authorizes the receiving agency to contact and work it for the purpose of the campaign. Each agency that handles lead data is responsible for complying with applicable data-protection and marketing laws, obtaining any required consent, and honoring opt-out requests.
6. Revenue share, invoicing & platform fee
Each campaign defines a revenue split between the owner agency, the closing agency, and a platform fee retained by us, shown in the campaign’s settings. Once a campaign goes live, its revenue-split percentages are locked and cannot be changed for that campaign. When a deal is closed and paid (including recurring/subscription payments), the Service records a revenue-split ledger entry for that payment.
The closing agency collects the deal payment from the client and is responsible for remitting (a) the owner agency’s share and (b) the platform fee. To facilitate this, the Service can generate and send invoices: the owner agency may invoice the closing agency for its share through the owner’s connected GoHighLevel account, and we periodically invoice the closing agency for accrued platform fees from our own GoHighLevel sub-account. Some campaigns may also require an ad-spend contribution as a condition of receiving leads. We are a facilitation and record-keeping platform, not a bank, escrow, or payment processor, and we do not guarantee any deal value, conversion, or income. You are responsible for your own taxes.
7. Payment terms, late payment & suspension
Invoices issued through the Service are due by the date shown on the invoice (by default 7 days after the invoice is sent). If an agency has an unpaid, past-due amount owed to an owner agency or to the platform, its account may be suspended: while suspended it will not receive new leads and cannot enrol in or create campaigns. You will still be able to log in and settle what you owe, and the suspension lifts automatically once all past-due amounts are paid, waived, or extended by us. Late or missed payments may also reduce your Agency Power score (see §9). We may, at our discretion, waive an amount or extend a due date; doing so is not a waiver of any other amount.
8. GoHighLevel integration
The Service connects to your GoHighLevel (LeadConnector) sub-account at your direction. By connecting it, you authorize us to create and update contacts and opportunities, read your pipelines and products, and create and send invoices on your behalf, solely to operate the features you use. You may disconnect at any time in your settings. Your use of GoHighLevel is also governed by GoHighLevel’s own terms.
9. Agency Power score
We compute an “Agency Power” score from your activity on the platform — including responsiveness, outcomes, participation, connectivity, and payment timeliness — to help agencies gauge trust. Scores are estimates for informational purposes, may change as your activity changes, and may be visible to other agencies and administrators.
10. Communications
When you register, you consent to receive service and transactional emails related to your account and activity — for example application status, lead assignments, deal updates, invoices, payment reminders, and suspension notices. These are necessary to provide the Service and are not marketing emails.

12. Intellectual property
The Service, including its software, design, and content, is owned by us and protected by law. You retain ownership of the data your agency submits, and grant us a limited license to host and process it solely to operate the Service.
13. Disclaimers and limitation of liability
The Service is provided “as is” without warranties of any kind. Revenue-split figures and scores are records and estimates, not financial, tax, or legal advice. Settlement of amounts between agencies is a matter between those agencies. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or for lost profits, revenue, or data, arising from your use of the Service.
14. Termination
We may suspend or terminate access to the Service for violation of these Terms, for unpaid past-due amounts, or for conduct that risks harm to the platform or other users. You may stop using the Service at any time; amounts already owed remain payable.
15. Changes
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above; continued use after changes constitutes acceptance.
